The Free-Zone Route Into Dubai Sales

The UAE Government portal says a free-zone company can trade within its zone and internationally, but access to the UAE mainland market is regulated. To sell goods or services locally, it may need a licensed mainland distributor or a mainland branch or company, with any required licences or approvals. The correct route depends on the activity and arrangement.

A free-zone licence does not settle the local sale

A free-zone company can be a sensible home for a business that trades within the zone or internationally. The UAE Government's Running a business in a free zone page draws a separate line around the UAE mainland market. Access is regulated, and the route for selling goods or services locally must be checked against the activity and the proposed arrangement.

The possible routes named by the official page include working through a licensed mainland distributor or establishing a mainland branch or company. It also says direct mainland sales generally need the required mainland licences or approvals. That is not a formality to add after incorporation. It changes who contracts, who invoices and which authority must see the activity.

Example using the standard Corporate Tax rates confirmed by Cabinet Decision No. 116 of 2022: a mainland business has AED 600,000 of taxable income. AED 600,000 - AED 375,000 = AED 225,000 above the 0% band, and AED 225,000 times 9% = AED 20,250. Do not apply that arithmetic as proof of a free-zone result. The local sales route is a separate licensing question.

Test the fit

Use a zone because its facilities do real work

Free zones are not interchangeable packages. The UAE Government's free-zone setup page says you start by selecting the sector and then the zone, and it notes that zones differ in the company types, activities and facilities they register. A logistics operator may need port access or storage. A media business may need production facilities. A consultant may need a different office solution.

Read the permitted activity beside the intended customer and delivery route. If the company will serve a Dubai customer from inside the zone, write down whether the work is performed in the zone, delivered through a mainland party or performed at a mainland site. The object that makes the fit credible is the authority's activity and facility record, not the name of the package.

If the plan is mainly local consulting, local installation or local fulfilment, test the mainland route before paying for a free-zone licence. If the plan is re-export, zone-based production or international services, the free zone may solve a real operating problem. The answer should come from the worksite and contract route. A low entry line is not a reason by itself.

Define the parties

The local route must name who does what

A usable plan names the free-zone entity, the customer, the invoicing party, the place of delivery and the party responsible for any mainland activity. A distributor arrangement is not the same as a branch. A mainland company is not the same as the free-zone entity. Put those distinctions into the setup scope before the provider writes a licence description.

Ask the proposed free-zone authority which activities it permits and ask the relevant mainland authority how the local work is licensed. Keep the answer with the contract draft, activity wording and premises proposal. A setup provider can organise documents, but the authority's response is what supports the route. No provider's package can replace a required licence or approval.

Address the decision point plainly. If the first customer expects your free-zone company to invoice, deliver and provide the service at a Dubai mainland site, do not approve a package that only says 'UAE market access'. Ask which entity performs the work and what authorisation covers it. That one sentence often exposes the missing part of the proposal.

Follow the route

Confirm the arrangement before incorporation

Start with the customer contract and mark every place where the work occurs. Then match the work to the free-zone activity. Next test whether the sale uses a licensed mainland distributor, a mainland branch, a mainland company or another approval route. Ask who applies, which documents are needed and which entity carries the customer obligation. Record the answer before selecting the package.

We would not rely on direct invoicing from a free-zone company until the relevant authority confirms the route for the actual activity, because the official UAE guidance gives possible structures but does not turn them into universal permission. That caution is narrow. It is aimed at the local sale described in the contract, not at all free-zone business.

The government guidance confirms that mainland access is regulated, but it does not state which route applies to every free zone, activity and customer arrangement. That is the boundary of the evidence. When the answer depends on a named authority's current rule, ask that authority and retain the written response. A generic sales assurance is not the same evidence.

Compare the proof

A local-sales plan needs an authority trail

A sound free-zone proposal shows the zone activity, the customer route and the document that supports the local arrangement. The proof may be a distributor's licence, a mainland branch or company record, an approval request or an authority response. The document will vary with the activity. What cannot vary is the need to identify the party that is allowed to perform the local work.

Do not let the tax label answer the sales question. Corporate tax, commercial licensing and mainland market access are related parts of planning, but they are not the same permission. Start with the contract and facility. Then ask a tax adviser to review the resulting entity and income position.
